Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Nicelyformed LLC (“Nicelyformed”, “we”, “us”) and govern your access to and use of the Nicelyformed service at nicelyformed.ai. By creating an account or using the service, you agree to be bound by these Terms and to our Privacy Policy. If you use the service on behalf of an organization, you confirm you have authority to bind it, and “you” includes that organization.

Using the service

You must be at least 13 years old to use Nicelyformed. You are responsible for the activity on your account and for keeping your credentials secure, and you must tell us promptly at contact@nicelyformed.ai if you believe your account has been compromised.

Your content

You retain ownership of the forms, prompts, uploads, and submissions in your account (“your content”). You grant us the limited, non-exclusive rights needed to host, process, transmit, and display your content so we can provide the service to you, including sending it to the AI provider described in the Privacy Policy. We claim no other rights in your content. You are responsible for having the rights to everything you upload.

Your forms and your respondents

You are the controller of the data your forms collect. When you publish a form, you agree that you:

• Have a lawful basis for collecting each piece of information you ask for, and provide respondents with any privacy notice the law requires.
• Will not use forms to collect payment card numbers, passwords, government identification numbers, or health, biometric, or other special-category data unless you have a lawful basis and appropriate consent, and never card numbers in any case.
• Will respond to respondents' requests about their data, with our help as your processor. Our GDPR page describes that arrangement.

Acceptable use

You agree not to use the service to:

• Violate any law or the rights of others.
• Impersonate a person or organization, or misrepresent who is collecting data.
• Distribute spam, malware, phishing, or deceptive content.
• Collect data from children under 13 without verifiable parental consent.
• Interfere with or disrupt the integrity of the service, probe or scan it for vulnerabilities without permission, or access it by any automated means other than our published interfaces.
• Resell the service or use it to build a competing product.

We may remove content or forms that breach these rules. To report abuse, email contact@nicelyformed.ai.

AI features and limits

Forms and insights generated by AI are produced automatically and can be inaccurate, incomplete, or unsuitable for your purpose. Review everything before you publish or rely on it. AI usage is metered in prompts per month according to your plan, as shown on the pricing page; we may apply fair use limits to prevent abuse and may change the models we use. We may add, change, or retire features, including AI features, at any time.

Plans, billing, and cancellation

The Free plan is free for as long as we offer it. Paid plans are billed in advance on a recurring monthly or yearly basis through Stripe, at the prices shown at checkout. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and you keep the paid features until then. We may change prices with at least 30 days' notice by email; the new price applies from your next renewal after the notice.

Fees are non-refundable except where the law requires otherwise. If you are a consumer in the UK or EU, you have the right to cancel within 14 days of first subscribing and receive a refund, unless you asked us to start providing the service immediately and acknowledged that you lose the right to cancel once the service has been fully provided; the checkout tells you when this applies.

Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the service, in which case we will give you reasonable notice where we can. After termination, you have 30 days to export your submissions from the account, after which we delete your content as described in the Privacy Policy.

Our intellectual property

The service, including its software, design, templates, and branding, is owned by us or our licensors and protected by intellectual property law. These Terms do not grant you any right to use our name or logos except as needed to identify the service. On the Free plan, published forms display a small Nicelyformed badge.

Disclaimers

The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not promise uninterrupted or error-free operation, that AI-generated content will be accurate, or that the service will meet legal requirements that apply to your forms. Nothing in these Terms limits any statutory rights you have as a consumer.

Limitation of liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be excluded by law. Subject to that, we will not be liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, data, or goodwill, and our total liability to you for all claims arising out of the service in any 12-month period is limited to the amount you paid us in that period, or 50 US dollars if you paid nothing.

Indemnity

If you use the service for business, you agree to indemnify us against claims, losses, and costs (including reasonable legal fees) arising from your content, your forms, the data you collect with them, or your breach of these Terms.

Changes to these Terms

We may update these Terms from time to time. We will post the new version here with a new date and, for material changes, email account holders at least 14 days before they take effect. Continuing to use the service after that date means you accept the updated Terms.

Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, except that consumers may also rely on the mandatory consumer protection laws and courts of the country where they live.
